What is a no claim certificate in a construction contract?

A no claim certificate is a signed declaration by a contractor, usually given with the final bill, that it has received what it is owed and will make no further claim under the contract.

Also called no dues certificate, no-claim declaration.

No claim certificate in plain words

Clients ask for a no claim certificate before releasing the final payment, so the account can be closed. Signing it is meant to end every claim the contractor has not already raised, which is why its timing and wording matter more than its length.

Why does no claim certificate matter?

A no claim certificate can decide whether an open claim, a disputed deduction or an unpaid price variation is ever paid. The cash at stake is whatever the contractor and the client have not yet agreed when the certificate is signed.

Where does no claim certificate mislead?

Indian courts have not always treated a no claim certificate as final: in Delhi State Industrial and Infrastructure Development Corporation v. Sukumar Chand Jain (January 2023), as reported by LiveLaw, the Delhi High Court held that one given on a pre-printed form as a condition of releasing the final payment amounted to coercion on the facts of that case. Whether one binds depends on the facts and the wording, so check your contract and current law, and take legal advice before signing or relying on one. This entry is general information, not legal advice.

What do people get wrong about no claim certificate?

Signing before the open claims are listed
Write down every claim still open before the certificate is requested. A claim that was never recorded is hard to pursue later, whatever view a court takes of the certificate.
